CONDITIONS OF SALE
The placement of a purchase order by the Customer constitutes acceptance of these terms and conditions as the sole basis of the sale of goods to the exclusion of any conditions of purchase appearing on any document of the Customer.
If these Conditions of Sale are unclear and require clarification, contact Svenska KJ.
Within this document, “Svenska KJ” refers to Enjayelle Pty Ltd atf The Cayjael Trust t/a Svenska KJ and the “Customer” refers to the Purchaser.
1.0 PAYMENT
1.1 Terms Customers will trade on a cash sale basis unless they have been granted an exception in writing by Svenska KJ. A proforma invoice will be issued for a deposit payment of 50% and the balance of all orders must be paid in full prior to the products being dispatched.
1.2 Orders
Orders are invoiced as per the current price list; however, due to circumstances beyond the control of Svenska KJ, prices are subject to change without notice.
Payment terms for ordered products are as follows:
• A deposit payment of 50% is required at the time of order.
• The remaining 50% balance is payable prior to, or at the time of, delivery.
• Products will not be delivered unless full payment has been received.
1.3 Miscellaneous
Invoices are raised at the point of dispatch and charged to the account the same day.
Svenska KJ cannot be held responsible for delivery ETAs or delays.
The Purchaser agrees that any production and/or contractual delays they may incur will not delay balance of payment to Svenska KJ.
The Purchaser will pay the debt upon request and accept the goods purchased as per the order.
The Customer acknowledges that interest charges apply on all overdue accounts. The interest charge will be calculated at a rate of up to 3% per calendar month or the maximum rate permitted by law.
Should it be considered necessary by Svenska KJ to incur legal and/or other expenses, including those charged by a debt collection agency, in obtaining or attempting to obtain payment, the Customer shall be liable for all such expenses.
2.0 ORDER PLACEMENT
2.1 Required Information When placing orders, the following information is required:
• Business name and/or Account name
• A.B.N.
• Official order number
• Product name
• Colour name
• Quantity required
• Delivery address and contact details
2.2 Minimum Order Quantity
• The minimum cut length for standard/indent fabric is 1m. Orders will be supplied to the nearest 0.1m.
• ‘Skai Contract vinyl’ is only available in 30m rolls.
• Indent standard vinyl/high-performance textiles have a minimum order quantity of 5m.
• Leather is supplied by the full square metre hide.
2.3 Cutting and Allowance
Customers should allow for wastage, flaws and roll lengths in their quantity calculations. Svenska KJ supplies the total meterage ordered and not specified cuts. While Svenska KJ cannot guarantee flaw-free fabric, vinyl or leather, rolls will be supplied within industry standards of an average of no more than 6 flaws per 50m. Flaws will be tagged and allowances provided.
No claims will be accepted once the goods have been cut, marked, or otherwise altered.
2.4 Colour Matching
Samples are indicative only. Variations may occur between batches or deliveries. Exact matching is not guaranteed unless previously arranged with reference to prior order details.
2.5 Reservation of Products
Stock reservations are held for 7 days unless otherwise arranged. A reservation does not guarantee availability.
3.0 PRICING STRUCTURE
3.1 Pricing
• Standard Price: This is the default price applied to all orders up to 50 metres per colourway unless otherwise agreed. Orders exceeding this quantity may be eligible for a Project Price at Svenska KJ’s discretion.
• Project Price: May be negotiated for large-scale or ongoing projects, based on total meterage, delivery requirements and overall scope.
• Trade Partner Discount: A discretionary discount may be offered to customers with a consistent purchasing history or established trading relationship with Svenska KJ. This rate is subject to prior approval and may be adjusted or withdrawn at any time at Svenska KJ’s sole discretion.
3.2 Freight
Freight charges apply to all orders and are determined by the total order size, packaging needs and delivery location.
Orders up to 50m are generally charged per box or roll based on size, weight and location. Indent orders are limited to 25m per roll and additional rolls may be required for larger quantities.
Separate freight charges apply to each delivery address.
Freight is generally rounded based on carrier quotes, with the following as a guide:
• Small (1-10m): ~$45
• Medium (11-25m): ~$55
• Medium to large (26-35m): ~$65
• Large orders (36 – 50m): ~$85
• Orders 50m + will be individually quoted
Final freight charges will be confirmed at the time of order.
3.3 Price Changes
Prices, including freight, are subject to change without notice due to external factors.
4.0 DELIVERY
4.1 Delivery will be made to the address nominated on the purchase order. Unless otherwise requested, deliveries within Australia will be made by a carrier nominated by Svenska KJ.
4.2 Delivery timelines are estimates only. Svenska KJ is not liable for delays caused by third parties.
4.3 Svenska KJ is not liable for any loss or damage resulting from delays or non-delivery caused by factors beyond its control, including carrier delays, customs, or third-party logistics.
4.4 Additional freight costs apply if the Customer cannot receive or offload the delivery at the nominated address.
4.5 International Deliveries
Svenska KJ does not normally arrange export freight, including requests to ship goods directly from our suppliers to international addresses but may consider doing so at its discretion. Where such arrangements are approved:
• Freight will only be arranged to the nearest port, unless a different arrangement is explicitly agreed in writing.
• The Customer is responsible for all import duties, taxes and customs clearance.
• Svenska KJ can coordinate ex-works shipments on behalf of the Customer, with all costs payable by the Customer.
• Svenska KJ is not liable for delays, losses or charges arising from international freight or customs processes.
5.0 INSPECTION OF PRODUCTS
5.1 Customers must check the goods on arrival, prior to cutting, to ensure correct product, colour, quantity and quality.
5.2 Alteration or Cancellation of Orders
(a)Cancellation fees apply once an order has been processed. Additional freight costs apply if goods have been dispatched.
(b)Large Orders: Cannot be cancelled once processed.
(c) Indent Products: Cannot be cancelled or altered. Reasonable changes will be considered where possible.
5.3 Returns
Returns require prior written approval. Unless due to defects or Svenska KJ error, the Customer must bear return freight costs and a cancellation fee of 25% of the invoice value or $100 (whichever is greater) plus GST.
Returns will only be accepted if:
• Notified within 7 days of delivery
• Goods are in original condition and packaging
• Goods have not been cut, treated, or altered in any way
• Products were not custom made or imported specifically for the Customer
5.4 Seven Days Reasonable and Sufficient
A 7-day period post-delivery is deemed reasonable for inspection.
6.0 CLAIMS
6.1 Claim Requirements
Claims for defective goods must:
• Be made in writing within 7 days of delivery
• Be made before goods are cut, treated, or altered
• Include return of goods within 14 days of written approval
6.2 Quality
All quotations are made without guarantee that the products will be suitable for a specific purpose, even if that purpose is known to Svenska KJ.
The Customer acknowledges that variations in colour, texture, or finish may occur between batches or within rolls, including for both natural and synthetic materials. Svenska KJ is not liable for any such variations or imperfections once products have been cut, marked, or used.
If specific selection or suitability for a particular purpose is required, this must be clearly stated in writing at the time of order. However, exact colour matching and fitness for purpose cannot be guaranteed.
6.3 Limitation of Liability
Where Svenska KJ breaches a term, warranty, or condition not otherwise excluded, its liability will be limited, at its discretion, to one of the following options:
(a)Replacement of the products
(b)Repair of the products
(c) Payment of cost to replace/acquire equivalent products
(d)Payment for repair costs
Liability is limited to the invoice value of the products. Nothing in this clause limits rights under the Australian Consumer Law (ACL).
6.4 No Consequential Damages
Svenska KJ will not be liable for consequential loss or damages, even if made aware of potential outcomes.
7.0 WARRANTIES AND REPRESENTATIONS
7.1 Implied Terms
All implied terms, warranties and conditions are excluded to the maximum extent permitted by law.
7.2 Svenska KJ Warranty Limitations
Svenska KJ warrants that products are suitable for normal commercial or residential use, provided they are used and maintained in accordance with industry standards and guidelines.
Svenska KJ does not warrant:
• Performance or appearance of products beyond what is expected under normal wear and tear conditions.
• Suitability for the Customer’s intended use unless confirmed in writing.
• Compatibility with after-treatments such as fire retardants, coatings, or finishes not applied or approved by Svenska KJ.
• Performance of products exposed to extreme environmental conditions, including direct sunlight, high humidity, mould, or improper storage.
• Products that have been altered, processed, or treated by third parties without prior written approval.
• Use in commercial applications of products specified for residential use only, unless otherwise confirmed by Svenska KJ in writing.
Warranty claims will not be accepted for any issues arising from misuse, incorrect application, or installation by the Customer or their contractors.
8.0 RISK AND TITLE
8.1 Risk
Risk passes to the Customer upon delivery or collection, including while being offloaded.
8.2 Title
Title remains with Svenska KJ until full payment is received. Svenska KJ may enter the Customer’s premises to repossess goods in the event of non-payment. Until paid in full, the Customer must:
• Clearly store goods as Svenska KJ property
• Hold proceeds of resale on trust for Svenska KJ
9.0 MISCELLANEOUS
9.1 Trademark Warranty
Customer warrants that fulfilling the order will not breach third-party trademarks or designs.
Customer indemnifies Svenska KJ from related claims.
9.2 No Waiver
No delay or indulgence by Svenska KJ constitutes a waiver unless expressly stated in writing.
9.3 Legal Costs
Customer agrees to pay all legal costs incurred by Svenska KJ in recovering debts.
9.4 Retention of Title
Svenska KJ may register a PPSA interest. The Customer agrees to store goods securely and distinctly and to hold proceeds of resale in trust.
9.5 Design Rights
All designs, whether featured on samples, price lists, websites or developed specifically for a Customer project, remain the intellectual property of Svenska KJ or its represented suppliers unless otherwise agreed in writing. This includes any custom designs created or commissioned by Svenska KJ. Unauthorised use, reproduction or distribution of these designs without prior written consent constitutes a breach of intellectual property rights and may result in legal action.
10.0 GOVERNING LAW AND JURISDICTION
These terms are governed by the laws of New South Wales, Australia. Parties submit to the nonexclusive jurisdiction of the courts of that state.
11.0 FORCE MAJEURE
Svenska KJ is not liable for failure or delay in performance due to events outside its reasonable control, including but not limited to strikes, natural disasters, pandemics, or supply chain disruptions.
